TERMS OF SERVICE

1. SERVICES PROVIDED

Pacific West Team provides third-party freight dispatch, accounting, and consultation services for owner operators and motor carriers. Our services include:

• •Dispatch Services — Load sourcing, rate negotiation, and carrier-broker coordination performed as your agent
• •Accounting Services — Rate confirmation processing, invoice generation, and factoring company submission on your behalf
• •Consultation Services — Industry guidance, operational advice, and trucking business consultation

Important: Pacific West Team operates as a third-party dispatch service and does not hold freight broker authority (MC number) or operate as a licensed freight broker. We act solely as your agent. You, as the carrier, maintain full responsibility for your operating authority, insurance, equipment compliance, and the actual transportation of freight.

2. CLIENT RESPONSIBILITIES

By using our services, you confirm and agree that you will:

• •Maintain valid operating authority (MC number and DOT number) in good standing with the FMCSA
• •Carry all required insurance including cargo, liability, and any state-mandated coverage
• •Comply with all applicable federal, state, and local transportation laws and regulations including FMCSA Hours of Service rules
• •Provide accurate and complete information about your equipment, capacity, and availability
• •Honor all rate confirmations and load agreements negotiated on your behalf
• •Pay all Pacific West Team service fees promptly according to the agreed billing schedule

3. FEES AND PAYMENT

Service fees are as follows unless otherwise agreed in writing:

• •Dispatch Services — Flat monthly fee per truck based on fleet size as published on our website. Fees are due monthly.
• •Accounting Services — $35 per truck per week, billed weekly by default. Alternative billing frequencies may be arranged by mutual agreement.

Late payments may result in suspension of services. Pacific West Team reserves the right to adjust pricing with 30 days written notice.

4. DISPATCHER-CARRIER RELATIONSHIP

Pacific West Team acts as your authorized agent for the purposes of finding loads and negotiating rates. This relationship is governed by a separate Dispatcher-Carrier Service Agreement which must be signed prior to the commencement of dispatch services. Nothing in these Terms or any Dispatcher-Carrier Agreement creates an employment relationship, partnership, or joint venture between Pacific West Team and the client.

5. LIMITATION OF LIABILITY

Pacific West Team acts as an agent on your behalf and is not liable for: cargo loss or damage; late delivery penalties; broker or shipper disputes; accidents or incidents occurring during transportation; or any consequential, indirect, or incidental damages arising from our services. Our total liability to you for any claim shall not exceed the total fees paid by you to Pacific West Team in the 30 days preceding the claim.

6. CONFIDENTIALITY

Both parties agree to keep confidential any proprietary business information shared during the course of the service relationship, including but not limited to broker contact lists, rate information, and client operational details. This obligation survives termination of the service relationship.

7. TERMINATION

Either party may terminate the service relationship at any time by providing written notice. Pacific West Team may immediately suspend or terminate services for non-payment, violation of these Terms, or conduct that damages our business relationships with brokers or shippers. Upon termination, all outstanding fees become immediately due.

8. WEBSITE USE

The content on pacwestteam.com, including all pricing information, service descriptions, and savings calculators, is provided for informational purposes. Pricing examples and savings estimates are based on industry averages and may not reflect your actual results. All content is the intellectual property of Pacific West Team and may not be reproduced without written permission.

9. GOVERNING LAW

These Terms are governed by the laws of the State of California. Any disputes arising from these Terms or our services shall be resolved in the courts of San Bernardino County, California, or through binding arbitration as mutually agreed.

10. CHANGES TO TERMS

We reserve the right to update these Terms at any time. Material changes will be communicated by updating the "Last updated" date and, where appropriate, by direct notification to active clients. Continued use of our services after changes constitutes acceptance of the updated Terms.
